The Mission of the Minot Hockey Boosters is to provide an affordable hockey program that is available to all youth of the Minot area that teaches and instills team spirit, sportmanship, discipline, and hockey skills.
ARTICLE I - The offices of the President and Vice President will be elected from and by the Board of Directors at the first meeting following the annual meeting. The President and Vice President may succeed themselves in the same office.The President shall appoint a Treasurer and Secretary from the Board of Directors or the General Membership at the first meeting of the board following the annual meeting.
ARTICLE II - DUTIES OF THE OFFICERS -
President
The President of the Minot Hockey Boosters shall be the presiding officer at all Minot Hockey Booster meetings to include meetings of the Board of Directors. The President or their designated representative shall countersign all checks for the withdrawal of funds. The designated representative will be appointed in writing by the President, and must be a board member or the program manager. The President also serves as a member of the Executive Committee.
Vice President
The Vice President of the Minot Hockey Boosters shall exercise the functions of the President in his/her absence or of his/her disability to act for any cause.The Vice President also serves as a member of the Executive Committee.
Treasurer
The Treasurer shall keep complete and accurate records of all receipts and disbursements and is the custodian of all funds of the Minot Hockey Boosters subject to the control and direction of the Board of Directors. The Treasurer shall make reports of the financial condition of the Minot Hockey Boosters monthly and as required by the Board of Directors. The Treasurer shall countersign all checks for the withdrawal of funds. The Treasurer or their designated representative shall deposit all funds of the Minot Hockey Boosters in such banks as designated by resolution of the board. The designated representative will be appointed in writing by the President, and must be a board member or the program manager.
Secretary
The Secretary shall keep a full and permanent record of all meetings of the Minot Hockey Boosters. In the absence of the Secretary, the President shall appoint a board member to record the minutes of the meeting.
Bonds
Bonds may be required for any officer or employee for the faithful performance of their duties. Bonds must be specified and required by the Board of Directors.
ARTICLE III - BOARD OF DIRECTORS -
Section One
The number of directors of the Minot Hockey Boosters shall be twelve. This number includes the President and Vice President. The terms of office is three years. Effective with the first meeting following the Annual Meeting, the terms of the Board of Directors shall be staggered so that no more than 1/3 of the directors terms shall expire annually. The Minot High School Head Hockey Coach and the immediate past President of the MHB Board of Directors (if his/her team has expired) will serve as ex-officio members of the board.
Section Two
A vacancy on the Board of Directors shall exist when a board member misses three consecutive board meetings without cause. Cause for missing a meeting is to be determined by the Executive Committee. When a vacancy exists on the board the Executive Committee with the advice and consent of the board shall appoint someone from the general membership to serve out the term.
ARTICLE IV - BOARD MEETINGS - The Board of Directors shall meet in regular sessions monthly. Special meetings of the board may be called by the President or by three or more board members. The time and place of the meetings shall be designated by the President. A majority of the directors shall constitute a quorum for board meetings.
ARTICLE V - CORPORATE MEMBERSHIP -
Section One
Membership in the corporation is open to any person who supports the mission and goals for which the corporation was formed to support, and meets the criteria for membership listed in section two. Parents/Guardians who have children skating in the Minot Hockey Booster Ice Program are considered members of the corporation.
Section Two
Members of MHB Inc. shall
a. Be eighteen years of age and not in high school.
b. Complete a membership application
c. Not a playing member of any hockey team directly or indirectly supported by MHB Inc. Nothing shall preclude members from participation as referees, coaches or instructions.
d. All fees and obligations to the corporation current.
e. Agree to the terms and conditions set forth in the membership application, as approved by the Board of Directors, to include fund-raising activities as designated in said membership application.
f. Sign membership application signifying acceptance of its terms and conditions and attesting that all said terms and conditions are understood.
ARTICLE VI - VOTING - The right to vote is limited to those individuals who hold membership in good standing with the corporation. Good standing is defined as having no debts to MHB Inc., and no disciplinary sanctions levied or pending on you. Each member shall be entitled to one vote, and must be present to vote. No member may vote by proxy.
ARTICLE VII - CORPORATE MEETINGS - MHB Inc. is required to at least one meeting with the general membership annually. The time and place of this meeting will be at the discretion of the Board of Directors.Special meetings of the general membership may be called by the President or a majority of the Board of Directors when the need arises.
ARTICLE VIII - CORPORATE MANAGEMENT - Management of the corporation shall be vested in the executive committee made up of the President and Vice President and the members of the Board of Directors.
ARTICLE IX - EXECUTIVE COMMITTEE-
Section One
The Executive Committee shall be made up of the President and Vice President of the corporation. This committee will have the authority to make emergency decisions concerning corporation business. The committee must inform the Board of Directors of any action taken within 48 hours.
Section Two
The Board of Directors upon review of the actions taken by the Executive Committee may overturn the decision by a majority vote.
ARTICLE X - CORPORATE SEAL- The Minot Hockey Boosters seal will be: “MINOT HOCKEY BOOSTERS” typed out and a seal placed upon it with the words “Corporate Seal” impressed.
